Exit Planning & Sale Preparation

Exit planning is the financial work done before a business goes to market: establishing what it is worth today, identifying what is suppressing that value, and preparing a financial package that survives a buyer's diligence without reopening price.

Most value is lost before the negotiation starts

Buyers discount what they cannot verify. Records that require explanation, earnings that need reconstructing, customer concentration that was never quantified — each becomes a reason to lower the offer or add contingencies.

The work that protects price is done twelve to twenty-four months before a sale, not during it.

What you receive

  • Independent business valuation with the concluded range and its drivers
  • Analysis of the specific factors suppressing value, quantified where possible
  • Normalized earnings schedule with adjustments documented
  • Sell-side financial package prepared for prospective buyers
  • Customer, product and margin concentration analysis
  • A written summary you can take to an attorney or broker

The three questions to answer before going to market

What is it worth today, honestly? Not a rule-of-thumb multiple — a valuation under the income, market and asset approaches.

What is suppressing the number? Owner dependence, concentration, margin trends, working capital, or records a buyer cannot follow.

What will a buyer find? Better that you find it first, on your own timetable, than that they find it under LOI.

Who this is for

  • Owners planning to sell within one to three years
  • Partners preparing a buy-sell or internal transfer
  • Families planning succession
  • Anyone who has received an unsolicited offer and wants to evaluate it properly

Turnaround. Exit preparation engagements are scoped individually; the valuation component typically runs 7 to 10 days.

Fees are quoted per engagement and are not published. Inquire and you will receive a written proposal with a fixed fee, a fixed scope and a delivery date, at no charge.

Valuation services are for analytical, strategic planning and internal decision-making purposes. Formal certified valuations require a CVA or ABV designation. The firm does not act as a business broker or place securities.

Frequently asked questions

When should I start planning an exit?
Twelve to twenty-four months before you intend to sell. The changes that protect value - reducing owner dependence, cleaning up records, addressing concentration - take time to show up in the financial history a buyer reviews.
What lowers the value of a small business?
Owner dependence, customer or supplier concentration, declining or unexplained margins, records a buyer cannot verify, and working capital that has not been normalised. Most are addressable given enough lead time.
Do you broker the sale?
No. Dominion Strategic Holdings provides the valuation and financial analysis. It does not act as a business broker or place securities. We work alongside your attorney and broker.
